CRYPTO-ASSET RISK DISCLOSURE STATEMENT
Last updated: 01.07.2026
1. General Provisions
1.1. This Crypto-Asset Risk Disclosure Statement sets out the principal risks associated with the purchase, sale, transfer of crypto-assets or other activities related to crypto-assets through the OurExchangeClub Platform.
1.2. This Statement applies to all users who visit the ourexchange.club website, register on the Website, create an account, undergo identification, create an order for the purchase or sale of crypto-assets, or use OurExchangeClub services.
1.3. This Statement forms an integral part of the OurExchangeClub Terms of Use, Privacy Policy, KYC/AML/CFT and Sanctions Compliance Policy, as well as other policies published on the Website.
1.4. Transactions involving crypto-assets may entail significant market, technical, blockchain, legal, tax, operational, security, liquidity and other risks, which may result in financial losses for the User, non-execution, delays or suspension of transactions, or the irreversible loss of crypto-assets.
1.5. The value, availability, liquidity, market price, transferability and legal status of crypto-assets may change rapidly, substantially and unpredictably.
1.6. The Company does not guarantee the value, future price, profitability, liquidity, market demand, stability or transfer speed of any crypto-asset, or any economic outcome.
1.7. Any information, exchange rates, tariffs, transaction terms or market data provided by OurExchangeClub on the Website or during communications are informational and transactional in nature and do not constitute investment, financial, tax, legal or other professional advice.
1.8. Before creating or executing a transaction, the User must independently assess all risks associated with crypto-assets and, where necessary, obtain independent legal, tax, financial or technical advice.
1.9. The User acknowledges that any decision to conduct a transaction involving crypto-assets is made independently, at the User's own risk and under the User's own responsibility, without relying on the Company as an investment, financial, tax or legal adviser.
1.10. If the User does not understand or accept the risks disclosed in this Statement, the User must not create a transaction order, conduct any crypto-asset purchase or sale transaction, or use the relevant OurExchangeClub services.
2. Nature of Crypto-Assets and High-Risk Characteristics
2.1. Crypto-assets are digital assets whose creation, storage, transfer or recording may be carried out using distributed ledger technology, blockchain networks or equivalent technological systems.
2.2. Crypto-assets may differ substantially from traditional monetary funds, bank accounts, deposits, securities or other conventional financial instruments in terms of their technical nature, market behaviour, transfer mechanisms, forms of control, legal status and risk profile.
2.3. The acquisition, sale, storage or transfer of crypto-assets may involve a high level of risk and may not be suitable for all persons. The User must assess whether they have sufficient knowledge, experience, financial capacity and risk tolerance to conduct such transactions.
2.4. Crypto-assets may have no centralised issuer, guarantor, governing body or responsible person who would be obliged to maintain their value, provide compensation, restore lost access or reverse an incorrectly executed transfer.
2.5. The value of crypto-assets may depend on market demand, supply, liquidity, technological factors, regulatory changes, the state of the blockchain network, the behaviour of market participants, information flows and other external circumstances beyond the Company's control.
2.6. Certain types of crypto-assets may be new, experimental, illiquid, highly volatile or technologically complex, and the risks associated with them may not be fully predictable or assessable by either the User or the Company.
2.7. The availability of a crypto-asset on the OurExchangeClub Platform or the technical possibility of conducting a transaction involving that crypto-asset does not mean that the Company guarantees the security, value, quality, legality, liquidity, future price or market demand for that crypto-asset.
2.8. The Company is not an issuer of crypto-assets, market maker, investment adviser, asset manager or custodian, unless such a service is expressly provided for in a separate written agreement. The Company's services are limited to facilitating the purchase and sale transactions involving crypto-assets approved in accordance with the Website's terms.
2.9. The User acknowledges that any transaction involving crypto-assets may result in either a profit or a partial or total financial loss, and the User bears the risk of such losses unless the loss has resulted from the Company's wilful misconduct or culpable conduct established in accordance with the law.
2.10. The User must not conduct any transaction involving crypto-assets if the User does not understand the nature of the crypto-asset, the blockchain transfer mechanism, market risks, legal consequences or potential financial outcomes of the relevant transaction.
3. Price Volatility and Market Risks
3.1. Crypto-asset prices may be subject to significant, rapid and unpredictable fluctuations. The value of a crypto-asset may increase or decrease substantially within a short period, regardless of the User's expectations or the market data available at the time of the transaction.
3.2. The market price of crypto-assets may depend on supply and demand, market liquidity, exchange data, information flows, technological developments, regulatory changes, actions of major market participants, general economic conditions and other factors beyond the Company's control.
3.3. Crypto-asset prices may differ across exchanges, exchange platforms, data providers or market sources. The exchange rate displayed on the Website or offered for a transaction is not necessarily identical to the rates or figures published by any exchange, market source, data provider or other exchange platform.
3.4. The exchange rate offered by OurExchangeClub may take into account the market price, liquidity conditions, transaction volume, type of crypto-asset, characteristics of the blockchain network, payment method, risk level, operating expenses, service fee, the Company's revenue and other factors.
3.5. The price of a crypto-asset may change during the period between the creation of a transaction order, verification of the order, payment, transfer of the crypto-asset, receipt of blockchain confirmations and final execution of the transaction.
3.6. Where an exchange rate for a transaction is valid for a limited period, the User must complete the necessary actions within that period. If the specified period expires, payment or transfer is delayed, the transaction is suspended, or additional verification becomes necessary, the Company may decline to apply the previously displayed exchange rate, cancel the transaction or offer new terms.
3.7. In the event of high market volatility, reduced liquidity, sharp price fluctuations, unavailability of exchanges or market sources, technical failures or other risk-related circumstances, the Company may temporarily suspend, restrict, decline to confirm or decline to execute certain transactions.
3.8. Liquidity risks may arise in the crypto-asset market, as a result of which the prompt purchase, sale or exchange of a particular crypto-asset may be difficult, delayed, restricted or possible only at a price unfavourable to the User.
3.9. The Company does not guarantee that the User will be able to purchase or sell any crypto-asset at the User's preferred time, at the User's preferred price, in the User's preferred amount or without market losses.
3.10. The User bears the risk of any potential losses, loss of profit or market losses incurred as a result of crypto-asset price fluctuations, changes in market conditions, reduced liquidity, exchange rate differences or transaction delays, unless such losses have resulted from the Company's wilful misconduct or culpable conduct established in accordance with the law.
3.11. The User confirms that they understand the market and price risks associated with crypto-assets and acknowledge that, as a result of a transaction, they may obtain a lower economic outcome than they expected when creating the transaction or reviewing market information.
4. Irreversibility of Blockchain Transfers and Risks of Incorrect Information
4.1. The User acknowledges that transfers of crypto-assets through blockchain networks are generally irreversible. Once a transfer has been submitted to the relevant blockchain network or confirmed on the blockchain, it may no longer be possible to cancel, recall, modify or return it.
4.2. To transfer crypto-assets, the User must accurately specify the wallet address, blockchain network, type of crypto-asset, transfer amount and, where necessary, the memo, tag, payment ID or other additional technical information.
4.3. If an incorrect wallet address, blockchain network, crypto-asset type, amount, memo/tag/payment ID or other technical information is entered or provided, the crypto-assets may be transferred to an incorrect address, become inaccessible or be irreversibly lost.
4.4. The User bears full responsibility for the accuracy of the wallet address, blockchain network, memo/tag/payment ID and other transfer details provided or confirmed by the User.
4.5. The Company transfers the crypto-asset to the wallet address and through the blockchain network specified or confirmed by the User. If the User has provided incorrect information, the Company shall not be liable for an incorrect transfer, loss of crypto-assets, delay or inaccessibility, provided that the Company acted on the basis of the information supplied by the User.
4.6. Before confirming a transaction, making a payment, transferring a crypto-asset or providing receipt details, the User must carefully verify all information, including the wallet address, blockchain network, type of crypto-asset, amount and any necessary additional notes.
4.7. Crypto-assets bearing the same or similar names on different blockchain networks may have different technical standards, transfer rules, address formats and risk profiles. Selecting an incorrect network may result in the total or partial loss of the crypto-asset.
4.8. If a crypto-asset has been transferred through an incorrect network, to an incorrect address or using incorrect technical information, the Company may attempt to assist the User only where such assistance is technically feasible, lawful and does not conflict with security, compliance or third-party rights requirements. Such assistance is not guaranteed and does not constitute an obligation to return the crypto-assets.
4.9. The return or recovery of incorrectly transferred crypto-assets may be technically impossible, excessively complicated, costly, legally or compliance-wise impermissible, or dependent on the actions of third parties.
4.10. If any actual banking, blockchain network, technical, partner-related, legal, security or other expenses arise in connection with the investigation of an incorrect transfer or its potential recovery, such expenses may be charged to the User or deducted from the amount or crypto-asset that may be returned, to the extent permitted by law.
4.11. The User acknowledges that the User bears the risk of losses arising from the irreversibility of blockchain transfers, incorrect information, selection of an incorrect network, an incorrect wallet address, or the absence or inaccuracy of additional technical information, unless the loss has resulted from the Company's wilful misconduct or culpable conduct established in accordance with the law.
5. Risks Associated with Crypto-Wallets, Private Keys and Seed Phrases
5.1. For the purposes of this Section, a private key means a secret digital key that enables control over crypto-assets held in the relevant crypto-wallet or blockchain address and the transfer of such assets. Possession of a private key may generally provide technical control over the corresponding crypto-assets.
5.2. For the purposes of this Section, a seed phrase, recovery phrase or recovery phrase sequence means a sequence of words used to restore access to a crypto-wallet or recover the corresponding private keys. Possession of a seed phrase may enable the restoration of access to a crypto-wallet and control over the crypto-assets held therein.
5.3. The User acknowledges that the storage, management, receipt or transfer of crypto-assets may depend on a crypto-wallet, private key, seed phrase, passwords, two-factor authentication methods, devices, software, internet connection and other technical or security measures.
5.4. The loss, disclosure, transfer to third parties, theft or improper storage of a private key, seed phrase, password, two-factor authentication method, crypto-wallet access credentials or other security information may result in the complete and irreversible loss of access to crypto-assets.
5.5. The Company does not store, control or recover the User's private keys, seed phrases, passwords or crypto-wallet access credentials, unless such a service is expressly provided for in a separate written agreement.
5.6. The User bears full responsibility for the confidentiality, safekeeping and proper use of their crypto-wallet, private key, seed phrase, passwords, two-factor authentication methods, devices, email account, telephone number, SIM card and other security measures.
5.7. The User must not disclose their private key, seed phrase, passwords or crypto-wallet access credentials to the Company, the Company's employees, third parties or any other person, unless expressly provided for by a clear and secure procedure arising from the nature of the relevant service. The Company does not request the User's private key or seed phrase for ordinary crypto-asset purchase or sale transactions.
5.8. The User acknowledges that phishing, social engineering, fraudulent websites, counterfeit applications, malicious software, SIM-swap attacks, device infections, and unauthorised access to email accounts or messengers may result in the loss of a crypto-wallet or crypto-assets.
5.9. The User must independently ensure that they use a trusted crypto-wallet, a secure device, a protected internet connection, up-to-date software and appropriate security measures when storing, receiving or transferring crypto-assets.
5.10. If the User uses a third-party crypto-wallet service, exchange, custodial solution or other technical platform, the User bears the risks arising from the operation, restrictions, failures, losses, blocking, hacking incidents or terms of service of that service, unless such risks have resulted from the Company's wilful misconduct or culpable conduct established in accordance with the law.
5.11. The Company shall not be liable for any loss of crypto-assets, incorrect transfers or damages resulting from the loss, theft, disclosure, unauthorised use or improper storage of the User's crypto-wallet, private key, seed phrase, passwords, devices, email account, telephone number, SIM card, payment instruments or other security measures.
5.12. The User must immediately notify the Company if they suspect that their account, crypto-wallet, email account, telephone number, payment information or security credentials have been subject to unauthorised access, loss, theft, leakage or any other security incident.
5.13. In the event of a suspected security incident, the Company shall have the right to suspend or restrict access to the User's account, a transaction, payment, crypto-asset transfer or the provision of services for the purpose of protecting the rights and legitimate interests of the User, the Company, other Users or third parties.
6. Risks Associated with Blockchain Networks, Technical Failures and Third Parties
6.1. The User acknowledges that the transfer, receipt, confirmation or recording of crypto-assets depends on the proper functioning of the relevant blockchain networks, crypto-wallet services, internet connection, technical infrastructure, third-party services and other external factors.
6.2. Blockchain networks may be subject to congestion, slowdowns, technical failures, delays in confirmations, increases in network fees, software updates, network forks, technical errors, cybersecurity incidents or other risks.
6.3. The time required to confirm a transaction on a blockchain network may vary depending on the congestion and technical condition of the relevant network, the amount of the network fee, the block generation rate, network rules and other factors beyond the Company's control.
6.4. The Company does not guarantee the speed of confirmation of blockchain transactions, the number of confirmations, the amount of network fees, the uninterrupted operation of blockchain networks or the availability of third-party crypto-wallet services.
6.5. Blockchain network fees may change rapidly and unpredictably. In the event of increased network fees, network congestion or technical restrictions, the execution of a transaction may be delayed, become more expensive, be suspended or become technically impossible.
6.6. Third parties may be involved in the process of transferring or receiving crypto-assets, including blockchain networks, crypto-wallet services, exchanges, payment service providers, banks, internet or hosting providers, technical service providers or other infrastructure providers whose operations are not controlled by the Company.
6.7. Failures, restrictions, delays, unavailability, refusals, technical errors, security incidents or changes to the terms of service of third-party systems, services or infrastructure may affect the execution of a transaction, payment, or the transfer or receipt of crypto-assets.
6.8. If a transaction is delayed, not executed, partially executed or requires additional verification due to a failure or restriction affecting a blockchain network, bank, payment system, crypto-wallet service, internet connection, technical provider or other third party, this shall not constitute a breach of the Company's obligations, provided that the Company has acted in good faith and to the extent permitted by law.
6.9. In the event of technical failures, blockchain network issues, unavailability of third parties, security risks or extraordinary market circumstances, the Company may temporarily suspend, postpone, restrict or cancel a transaction, or move it to the refund stage, taking into account the status of the transaction, technical feasibility, legal requirements and compliance requirements.
6.10. If, due to a technical failure, incorrect display, unavailability of third-party data or a system issue, an exchange rate, tariff, fee, availability status, transaction status or other transaction term is incorrectly displayed on the Website, the Company may decline to confirm the transaction, correct the error, cancel the transaction or offer new terms.
6.11. The User must independently ensure the proper functioning and security of their device, internet connection, crypto-wallet, software, browser, email account, telephone number, payment instruments and other technical means.
6.12. The User acknowledges that the User bears the risk of delays, expenses, losses or other adverse consequences arising from blockchain networks, technical failures, third-party services, network fees, delays in confirmations or issues affecting external infrastructure, unless such consequences have resulted from the Company's wilful misconduct or culpable conduct established in accordance with the law.
7. Legal, Regulatory and Tax Risks
7.1. The User acknowledges that the legal, regulatory, tax, accounting and reporting frameworks applicable to crypto-assets may differ between countries and may change over time.
7.2. Changes to legislation applicable to crypto-assets, regulatory requirements, tax rules, reporting obligations, licensing requirements, restrictions or prohibitions may affect the ability to acquire, sell, store, transfer, receive or use crypto-assets or conduct transactions related thereto.
7.3. In the event of regulatory or legal changes, requirements imposed by competent authorities, sanctions restrictions, AML/CFT requirements, or changes to tax or reporting obligations, the Company may restrict, suspend, decline to confirm, decline to execute or cancel certain transactions, or move them to the refund stage, to the extent permitted by law.
7.4. The User must independently assess and comply with all legal, tax, reporting, foreign exchange control, licensing, declaration, residency and other mandatory requirements applicable to the User.
7.5. If the User is a citizen, resident or tax resident of another state, is located outside the territory of the Republic of Armenia, or uses the services from another jurisdiction, the User must independently ensure that the use of OurExchangeClub services and transactions involving crypto-assets are permitted under the laws applicable to the User.
7.6. The Company does not provide the User with individual legal, tax, accounting, regulatory or financial advice and does not guarantee any legal, tax or reporting consequences of a transaction for the User.
7.7. The User bears sole and full responsibility for calculating and declaring taxes relating to their transactions involving crypto-assets, filing reports, paying taxes or other mandatory payments, and complying with applicable legal requirements.
7.8. An increase in the price of crypto-assets, their sale, exchange, transfer, receipt or other activities may give rise to tax, accounting, declaration or other public-law obligations for the User, depending on the User's status, place of residence, residency, tax residency, nature of the transaction and applicable legislation.
7.9. The User's failure to comply with legal, tax, reporting or other mandatory requirements applicable to the User may not serve as grounds for bringing a claim against the Company, unless the Company has breached mandatory legal requirements applicable to it.
7.10. The Company may retain and, in cases prescribed by law, provide competent authorities with information relating to the User's transactions, payments, crypto-asset transfers, identification, documents, communications and other relevant data for tax, legal, compliance, accounting, security or evidentiary purposes.
7.11. The User acknowledges that the User bears the risks, expenses, fines, restrictions or other adverse consequences arising from changes to, or incorrect assessment of, legal, regulatory, tax or reporting requirements, unless such consequences have resulted from the Company's wilful misconduct or culpable conduct established in accordance with the law.
8. Absence of Advice and Independent Decisions by the User
8.1. Any information provided by OurExchangeClub on the Website, in the User's account, during the transaction process, in communications or otherwise is exclusively informational, technical, transactional or related to the provision of services in nature.
8.2. The Company does not provide and shall not be deemed to provide investment, financial, tax, legal, accounting, technical, crypto-asset management or other individual professional advice.
8.3. The names of crypto-assets, exchange rates, availability, tariffs, transaction terms, risk-related information or other data presented on the Website or by the Company must not be interpreted as an offer, advice, guarantee or instruction to purchase, sell, hold, transfer or otherwise deal with any crypto-asset.
8.4. The Company does not assess the User's financial situation, investment objectives, tax status, legal circumstances, risk tolerance or the suitability of any transaction in light of the User's individual circumstances.
8.5. The User must independently assess the nature, purpose, economic rationale, risks and potential consequences of each transaction, the related tax and legal obligations, as well as the User's financial capacity and risk tolerance.
8.6. Where necessary, the User must obtain independent legal, tax, financial, accounting or technical advice from relevant professionals before conducting a transaction.
8.7. The User acknowledges that any decision to conduct a transaction involving crypto-assets is made independently, based on the User's own knowledge, assessment, risk tolerance and responsibility.
8.8. The Company does not guarantee that the purchase, sale, storage, transfer or receipt of any crypto-asset will meet the User's financial, tax, legal or other objectives.
8.9. The User may not interpret general information, technical support, transaction instructions, displayed exchange rates or risk disclosures provided by the Company as individual advice or a guarantee of the outcome of a transaction.
8.10. The User bears the risks associated with the decisions made by the User, transactions, payments, transfers of crypto-assets, incorrect assessments, market changes, and legal or tax consequences, unless such risks have resulted from the Company's wilful misconduct or culpable conduct established in accordance with the law.
8.11. If the User does not understand the nature of a transaction, the characteristics of the crypto-asset, the blockchain transfer mechanism, the market, technical, legal or tax risks, the User must not create a transaction order or conduct the relevant transaction.
9. Acceptance of Risks and Final Provisions
9.1. The User confirms that, before using OurExchangeClub services, creating a transaction order, purchasing, selling, transferring or receiving crypto-assets, the User has read this Statement and understands the principal risks associated with crypto-assets.
9.2. The User acknowledges that the list of risks set out in this Statement is not exhaustive and that other risks may arise in connection with crypto-assets which cannot be fully predicted, described or assessed in advance.
9.3. The User confirms that they understand and accept the market, price, liquidity, technical, blockchain, legal, tax, reporting, operational, security, third-party and other significant risks associated with crypto-assets.
9.4. The User acknowledges that transactions involving crypto-assets may result in financial losses, non-execution, delays, suspension, cancellation, rejection, transfer to the refund stage, or the irreversible loss of crypto-assets or access thereto.
9.5. By creating a transaction order, confirming a transaction, making a payment, transferring or receiving crypto-assets, or using OurExchangeClub services, the User confirms acceptance of the risks disclosed in this Statement and agrees to bear the consequences arising therefrom, to the extent permitted by law.
9.6. The Company does not guarantee the value, future price, profitability, liquidity, stability, transfer speed, market demand or legal status of any crypto-asset, or any economic outcome.
9.7. The User must not conduct any transaction involving crypto-assets if the User does not understand the nature of the transaction, the risks, potential consequences, blockchain transfer mechanism, crypto-wallet security requirements, or the legal and tax obligations applicable to the User.
9.8. This Statement applies together with the Terms of Use, Privacy Policy, KYC/AML/CFT and Sanctions Compliance Policy, as well as other policies, rules, procedures, tariffs and limits published on the Website.

9.11. The amended Statement shall be published on the Website or made available through the Company's official communication channels and shall enter into force upon publication or on another date specified in the Statement.
9.12. The User must periodically review the current version of this Statement. Continued use of the Website, the User's account or OurExchangeClub services following any amendments shall be deemed acceptance of the amended Statement by the User.
9.13. The Armenian version of this Statement shall be the principal and prevailing version. In the event of any conflict, discrepancy or inconsistency of interpretation between the Armenian version and translations into English, Russian or any other language, the Armenian version shall prevail.
9.14. Certain provisions of this Statement may, by virtue of their nature, remain in force after termination of the relationship between the User and the Company, completion of a transaction, a request to close the User's account or discontinuation of the use of services.
